1. Acceptance of Terms

Welcome to LocationScout! By accessing and using the LocationScout website (the "Service"), you agree to be bound by these Terms and Conditions (the "Terms"). If you do not agree to these Terms, please do not use the Service. 2. Description of Service

LocationScout is a platform designed to connect filmmakers, photographers, and other creative professionals with location owners for the purpose of renting or licensing properties as filming locations. We provide a searchable database of locations, tools for communication and negotiation, and other related services to facilitate the location scouting process. We act as an intermediary, but we are not a party to any agreement between location owners and users. The responsibility for all contracts and fulfillment of any such contracts lies solely between the location owner and the user.

3. User Accounts

To access certain features of the Service, you may be required to create a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. LocationScout reserves the right to suspend or terminate your account if we believe that you have violated these Terms or that your account has been compromised.

4. User Conduct

You agree to use the Service in a responsible and lawful manner. You are solely responsible for your conduct and any content that you submit, post, or display on or through the Service. You agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Infringe upon the intellectual property rights of others.
• Upload or transmit any viruses, malware, or other harmful code.
• Interfere with or disrupt the operation of the Service.
• Engage in any form of harassment, spamming, or deceptive practices.
• Attempt to gain unauthorized access to any part of the Service.
• Misrepresent your identity or affiliation.

6. Location Listings

Location owners are solely responsible for the accuracy, completeness, and legality of their location listings. LocationScout does not endorse or guarantee the suitability of any location for any particular purpose. Users are responsible for conducting their own due diligence and for verifying the information provided in location listings. LocationScout reserves the right to remove any location listing that violates these Terms or that we believe is misleading or inappropriate.

7. Payments and Fees

LocationScout may charge fees for certain features of the Service, such as premium location listings or enhanced search functionality. All fees are non-refundable unless otherwise stated. You are responsible for paying all fees in a timely manner. We use Stripe, Inc. located at 510 Townsend Street, San Francisco, CA 94103, as our third-party payment processor. You agree to their terms and conditions as well. LocationScout reserves the right to change its fees at any time, but we will provide you with reasonable notice of any such changes.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LOCATION SCOUT MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LOCATION SCOUT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

9. Limitation of Liability

IN NO EVENT SHALL LOCATION SCOUT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF LOCATION SCOUT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LOCATION SCOUT'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO LOCATION SCOUT IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold LocationScout harmless from any and all claims, liabilities, damages, costs, and expenses (including attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California.

12. Changes to Terms

LocationScout reserves the right to modify these Terms at any time. We will provide you with reasonable notice of any material changes to the Terms. Your continued use of the Service after such notice constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for any changes.

13. Termination

LocationScout may terminate your access to the Service at any time, with or without cause. You may also terminate your account at any time by contacting us at support@locationscout.com. Upon termination, your right to use the Service will immediately cease.

14. Entire Agreement

These Terms constitute the entire agreement between you and LocationScout with respect to the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and LocationScout.
